1. Introduction

Welcome to Silicon Curve (“Silicon Curve,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of the Silicon Curve website located at https://siliconcurve.com (the “Website”), including any subscription services, reports, articles, research, and related content (collectively, the “Service”).

By accessing or using the Service, creating an account, or purchasing a subscription or report, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

3. Eligibility

You must be legally capable of entering into a binding contract under the laws applicable to you to use the Service.

If you create an account or make a purchase on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

You are responsible for ensuring that your use of the Service complies with the laws applicable in your jurisdiction.

You represent that you are not located in, or subject to sanctions imposed by, any jurisdiction where access to or use of the Service would violate applicable law.

4. User Accounts

Certain portions of the Service require an account.

When creating an account, you agree to:

  • provide accurate, current, and complete information;
  • maintain the accuracy of your account information;
  • keep your login credentials confidential; and
  • promptly notify us of any unauthorized access to your account.

You are responsible for all activity occurring under your account.

Accounts are intended for use by a single individual unless otherwise expressly authorized by Silicon Curve. You may not share your login credentials or permit others to access your account. We reserve the right to suspend or terminate accounts reasonably suspected of unauthorized account sharing.

We reserve the right to suspend or terminate accounts that violate these Terms or are used fraudulently.

5. Products and Services

Silicon Curve publishes original research and data journalism based upon publicly available datasets and proprietary analysis.

Products currently offered include:

  • Monthly subscriptions providing access to the full report library;
  • Annual subscriptions providing access to the full report library; and
  • One-time purchases granting access to individual reports.

Unless otherwise stated, purchased reports are accessible through your account on the Website. Reports are not sold as downloadable digital files.

One-time report purchases provide ongoing access through your account for as long as Silicon Curve continues to make that report available through the Service. Silicon Curve reserves the right to modify, replace, or remove reports from publication where appropriate and does not guarantee perpetual availability of any specific report.

Access to purchased content remains subject to these Terms.

6. Payments

Payments are securely processed through Stripe. Silicon Curve does not store your complete payment card information.

Subscription fees are billed in advance according to the selected billing cycle.

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

You authorize Stripe to charge your selected payment method for all applicable subscription fees, taxes, and any other authorized charges.

Prices may change from time to time. Price changes will not affect an active subscription until the next renewal period.

7. Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@siliconcurve.com.

Cancellation prevents future renewals but does not entitle you to a refund for the current billing period unless required by applicable law.

Your subscription benefits continue until the end of the paid subscription period.

8. Refunds

Except where required by applicable law, all purchases are final.

Refund requests arising from duplicate charges, billing errors, or similar payment processing issues will be reviewed promptly.

Silicon Curve may, in its sole discretion, provide refunds in exceptional circumstances but is under no obligation to do so.

9. Intellectual Property

All content available through the Service is owned exclusively by Silicon Curve or licensed for our use.

This includes, without limitation:

  • reports;
  • written analysis;
  • visualizations;
  • charts;
  • graphics;
  • website design;
  • software;
  • logos;
  • branding;
  • trademarks;
  • trade dress;
  • text;
  • compilations; and
  • all related intellectual property rights.

Although many underlying datasets originate from publicly available sources that permit commercial use, Silicon Curve’s selection, organization, interpretation, editorial analysis, visual presentation, and narrative are proprietary.

Nothing in these Terms transfers ownership of any intellectual property to you.

10. License to Use Reports

Subject to compliance with these Terms, Silicon Curve grants you a limited, non-exclusive, non-transferable, revocable license to access reports solely for your own internal business or personal informational purposes.

You may not:

  • redistribute reports;
  • publish reports;
  • reproduce reports;
  • scrape reports;
  • commercially resell reports;
  • publicly display reports;
  • create derivative works from reports for commercial distribution;
  • use the Service or its content to train machine learning or artificial intelligence models without our prior written permission;
  • perform bulk extraction or systematic copying of reports or other content; or
  • circumvent any technological restrictions controlling access.

This restriction applies regardless of whether portions of the underlying factual data originate from public sources.

11. Acceptable Use

You agree not to:

  • violate applicable law;
  • interfere with the operation or security of the Website;
  • reverse engineer or attempt to bypass access controls;
  • use automated systems to scrape or harvest content without our written permission;
  • impersonate another person or organization; or
  • use the Service in any fraudulent or unlawful manner.

12. Availability

We strive to maintain uninterrupted availability but do not guarantee continuous operation.

We may temporarily suspend access to the Service for maintenance, upgrades, security, or operational reasons.

We may modify, suspend, discontinue, or update any part of the Service without liability.

13. Informational Purposes Only

The reports published by Silicon Curve are provided solely for informational purposes.

Our reports represent analysis, interpretation, and opinion based on publicly available information available at the time of publication.

Reports may include forecasts, estimates, opinions, assumptions, projections, or interpretations based on publicly available information. Actual outcomes may differ materially.

Nothing on the Website constitutes:

  • investment advice;
  • financial advice;
  • legal advice;
  • tax advice;
  • engineering advice; or
  • professional consulting services.

Users are solely responsible for any decisions made based upon our content.

14. Accuracy of Information

While we make reasonable efforts to produce accurate and well-researched reports, we cannot guarantee that all information is complete, accurate, current, or free from error.

Public datasets may contain inaccuracies, omissions, revisions, or delays outside our control.

Silicon Curve makes no warranty regarding the accuracy, reliability, or completeness of any report.

15. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided “AS IS” and “AS AVAILABLE.”

Silicon Curve disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted operation.

16. Limitation of Liability

To the maximum extent permitted by law, Silicon Curve shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from or relating to the use of the Service.

Our aggregate liability arising out of these Terms or the Service shall not exceed the greater of:

  • the amount paid by you to Silicon Curve during the twelve (12) months immediately preceding the claim; or
  • US$100.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

17. Indemnification

You agree to indemnify and hold harmless Silicon Curve, its owner, contractors, and service providers from any claims, liabilities, damages, losses, and expenses arising out of:

  • your misuse of the Service;
  • your violation of these Terms;
  • your violation of applicable law; or
  • your infringement of another person’s rights.

18. Privacy

Your use of the Service is also governed by our Privacy Policy.

When creating an account, we collect information including your name, business name (if provided), and email address.

We process payment information through Stripe.

19. Third-Party Services

The Website may incorporate or rely upon third-party services, including payment processors and publicly available data providers.

Silicon Curve is not responsible for the availability, content, or performance of third-party services.

20. Suspension and Termination

We reserve the right to suspend or terminate your account immediately if:

  • you violate these Terms;
  • your use threatens the security or operation of the Website; or
  • we are legally required to do so.

Termination does not affect any rights or obligations that accrued before termination.

21. Changes to the Service

We may add, remove, modify, or discontinue reports, subscription offerings, Website functionality, pricing, or features as our research, products, and services evolve.

22. Changes to These Terms

We may update these Terms periodically.

Material changes become effective upon posting an updated version on the Website with a revised Effective Date.

If a material change adversely affects your rights, you may cancel your subscription before your next renewal.

Continued use of the Service after the Effective Date constitutes acceptance of the revised Terms.

23. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law principles.

24. Dispute Resolution

Before filing legal proceedings, both parties agree to make a good-faith effort to resolve disputes by contacting the other party in writing.

Any legal action arising out of these Terms shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, except where applicable law provides otherwise. Each party consents to the jurisdiction of those courts.

25. Force Majeure

Silicon Curve shall not be liable for any delay or failure to perform any obligation under these Terms due to causes beyond its reasonable control, including natural disasters, acts of government, labor disputes, internet or telecommunications failures, cyberattacks, power outages, or failures of third-party service providers.

26. Survival

The provisions relating to intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and any other provisions that by their nature should survive termination shall remain in effect after termination of these Terms.

27. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

28. Entire Agreement

These Terms, together with our Privacy Policy and any policies expressly incorporated by reference, constitute the entire agreement between you and Silicon Curve regarding the Service.
